MEDITECH Greenfield Workspace End User License Agreement

By accessing this Application Development Environment ("MEDITECH Greenfield Workspace"), End User ("End User" and/or "You") agree to be bound by this End User License Agreement ("EULA"). If you do not wish to be bound by this EULA, you may not access or use MEDITECH Greenfield Workspace. MEDITECH reserves the right to revise the terms in this EULA at any time by posting revised terms to this website, and your use after such change signifies acceptance of the changed terms. Please check the website periodically for changes.

NOW THEREFORE, the parties hereby agree as follows:

1. Scope

The contents of MEDITECH Greenfield Workspace, such as text, graphics, interactive tools, calculations, images and other information and material contained on MEDITECH Greenfield Workspace (“Content”) are for informational purposes only. The Content is not intended to be a substitute for professional medical advice, diagnosis, treatment or medication plans, or potential outcomes related thereto. MEDITECH Greenfield Workspace does not replace the advice of a physician or other qualified health provider regarding a medical condition

2. License

a. License Grant. End User hereby receives a limited, nonexclusive, non-transferable, non-sub-licensable license to access and use MEDITECH Greenfield Workspace and Content for its business purposes as contemplated by the Agreement.

b. Restrictions on Use. End User shall not (i) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise commercially exploit or make MEDITECH Greenfield Workspace or Content available to any third party, other than as expressly permitted by the Agreement; (ii) use MEDITECH Greenfield Workspace or Content to process data on behalf of third parties, other than as expressly permitted by the Agreement, (iii) interfere with or disrupt the integrity or performance of MEDITECH Greenfield Workspace or Content; (iv) attempt to gain unauthorized access to MEDITECH Greenfield Workspace or its related systems or networks; or (v) access or use MEDITECH Greenfield Workspace to transmit, store, or process Protected Health Information (as defined in HIPAA) unless (both parties execute a HIPAA Business Associate Agreement).

3. Ownership

Downloading Content from MEDITECH Greenfield Workspace does not give you title to such Content, including any files, data and images incorporated in or associated with the Content. Accordingly, you acknowledge and agree that you shall use any such Content only in accordance with the Agreement executed between you and MEDITECH.

4. Limitation of Liability

YOUR USE OF MEDITECH GREENFIELD WORKSPACE AND CONTENT IS AT YOUR OWN RISK. NEITHER MEDITECH NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, CONTRIBUTING TO, OR DELIVERING MEDITECH GREENFIELD WORKSPACE IS LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO, USE OF, OR INABILITY TO USE MEDITECH GREENFIELD WORKSPACE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON MEDITECH GREENFIELD WORKSPACE IS PROVIDED TO YOU ON AN “AS IS” BASIS, AND, TO THE FULLEST EXTENT PERMITTED BY LAW, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, MEDITECH WILL HAVE NO LIABILITY WHATSOEVER, FOR TECHNOLOGY OR CONTENT CREATED BY YOU USING MEDITECH GREENFIELD WORKSPACE OR CONTENT.
